Addiko: In the bidding war for Addiko, RBI has won the race. By the end of the acceptance period, RBI had received acceptance declarations from Addiko shareholders representing more than 55 percent of all Addiko shares included in the offer. Specifically, a total of 10,831,435 Addiko shares were submitted to the accepting and paying agent. This corresponds to 56.16 percent of all Addiko shares included in the offer. The minimum acceptance threshold of more than 55 percent was therefore exceeded. RBI offered €26.50 per Addiko share. Pursuant to Section 19 Paragraph 3 of the Takeover Act (ÜbG), the acceptance period is extended by three months from the date of publication of the result for those Addiko shareholders who have not yet accepted the offer or have accepted the competing offer. The extended acceptance period therefore runs from August 3, 2026, to November 3, 2026. Addiko shareholders who accepted the offer from Nova Ljubljanska banka (NLB) can now accept RBI's offer within this extended period by submitting a written declaration to their custodian bank, as announced by RBI. A total of 6,087,353 Addiko shares were offered to NLB, representing 31.22 percent of all issued Addiko shares. The minimum acceptance threshold was 50 percent plus one share. Therefore, the offer will not be settled.
