Valneva: Valneva, an Austrian/french specialty vaccine company focused on prevention against diseases with major unmet needs, today announced that its shareholders approved the resolutions recommended by the Management Board at its Extraordinary General Meeting (EGM) held on December 22, 2020. Due to the COVID-19 pandemic, this EGM was held as a closed meeting without the physical presence of shareholders. Among the resolutions approved during the EGM were delegations for the management board to increase the share capital and/or to issue financial instruments. Valneva called the EGM in order to obtain the necessary authorizations to allow the Company to prepare for a potential listing and public offering of American Depositary Shares (each representing a number of the Company’s ordinary shares) on Nasdaq in 2021 (the “Offering”), subject to market and other conditions, consistent with the Company’s previously communicated strategic plans. The timing, number of securities to be offered and their price have not yet been determined. The Company plans to submit a confidential draft registration statement to the Securities and Exchange Commission (the “SEC”) in early 2021, and the proposed Offering is expected to commence after the SEC completes its review processes, subject to market and other conditions. Shareholders and potential investors should note that the proposed Offering may or may not proceed.

Frequentis: ASECNA, the Agency for the Safety of Air Navigation in Africa and Madagascar, has selected Frequentis' AMHS to improve message handling in eight African countries. Cameroon, the Central African Republic, Comoros, Côte d'Ivoire, Equatorial Guinea, Gabon, Gambia, and Guinea-Bissau will benefit from the most advanced upgrade of their existing legacy AFTN (aeronautical fixed telecom network) messaging service with an innovative, fully integrated messaging technology, which allows the harmonised operation of all messaging services in one application. In this project, ASECNA takes over the central procurement of the AMHS infrastructure for its member countries, including the delivery of eight complete and independent systems.

Wolford: The first six months of the new short fiscal year 2020 of the Wolford AG, listed on Vienna Stock Exchange, were strongly marked by the impacts of the first Covid-19-related lockdown. Although stores in the EMEA region and the USA were open again as of late April/early May (in China already end of February), customer frequency and buying behavior did not normalize during the reporting period by any means. Despite this, Wolford generated sales of EUR48.17 million, in the first six months of the current fiscal year 2020 (May 2020 to December 2020), registering a drop in revenue of about 20 percent compared to the prior-year figure of Euro 60.49 mn. The drop in sales of Euro 12 mn compared to the same period of the previous year was lower than planned. Despite the decline in sales revenues, at EUR-11.28 million the previous year's earnings before taxes (EBT) of Euro -12.03 mn were exceeded by Euro 1 mn. The effects of the sale of the real estate were not taken into account (EBT incl. effects from the sale of real estate Euro 30.00 mn). The revenue of Euro 72 mn related to the selling of Wolfordstraße 1-3 in Bregenz was used, to fully repay the debts at the beginning of May. The company expects to be able to reach break even in the coming year, assuming that our expectations regarding the development of the Covid-19 pandemic remain valid. In this context, the management board has implemented additional measures to secure liquidity on a sustainable basis.

RBI: Following the European Central Bank’s recommendation (ECB/2020/62) for banks to exercise extreme prudence in their dividend policy, and in light of the distribution limits outlined by the ECB, Raiffeisen Bank International AG’s (RBI) board of management takes the view that the shareholder decision on distribution of the profit carried forward for the business year 2019 shall be postponed until the next ordinary general meeting (scheduled for 22 April 2021), when the proposal of utilization of net profit for the business year 2020 will also be submitted for shareholder decision. In consideration of RBI’s dividend accruals equivalent to 139c/share as of 30 September 2020, as of today RBI considers that a dividend proposal in line with the guardrails set by the ECB would be prudent. This would result in a maximum dividend payment of c. 48c/share (based on Q3/2020 RWAs) and is subject to a final alignment by the ECB.
